It could well be an AGP problem Try lowering AGP to 1x and see if it boots now when overclocked. If it does, it's a Win2000 chipset incompatibility problem I can remember Windows having a patch for that, you should be able to find it throught the MS Knowledge base http://search.support.microsoft.com/kb/c.asp Good luck.
