Hi, I received mine as a free upgrade (I bought a laptop with nt4 because they
were offering a free upgrade to win2000).  I have seen some good prices for
software on e-bay... but yes you have to be careful. You might try:

I never had any problems with installation (I did upgrade it a couple of
times... but usually doing a clean format of the harddrive and a fresh
installation is best I think).

During the installation process the disc will check to see what programs are on
your computer and will give you a list of ones it might have problems with. Some
like antivirus software, system utilities like nortons systemworks might need an
update. My computer was about a year older than windows 2000 so the windows 2000
disc had all the drivers I needed, but most hardware vendors have newer drivers
you can download.

Just as a side note for others:  I have done alot of beta testing, downloading,
etc from the internet over the last few years. As a result I would have to
reformat/reinstall my operating system every couple of months. I have been using
Norton Ghost (part of Norton System works pro: I paid $20.00 on ebay) and its
great. I have partitions on my harddrive, and now when I really mess things up,
and can restart my computer with the norton floppy in the drive and it will
paste/copy the backup partition I have back over the os... I can go watch a tv
program and come back in an hour and it's like having a fresh new install!
