I am not exactly sure of all of the details, but I believe Windows 2000 and XP
won't run programs that were written to run in real mode (the way DOS programs
ran, where whatever program was running "owned" the whole computer). In Windows
95 and 98 you could still run them, and I guess since Me is based off of 98 it
will too, but Windows 2000 and XP are based off of Windows NT, and I'm not sure
that NT ever supported real mode programs (instead, they run in protected mode).
I remember that Fritz was written in assembly language (or at least a
significant portion), and usually that means real mode, since real mode is much
nicer to program in for an assembly programmer (since your program owns the
machine and don't have to share with other programs). That is my guess why it
won't run on 2000 or XP.
