thanks guys...my RAM tests okay.
my PSU is  300W (+3.3V & +5V = 150W max)
I was able to stop the problem by cutting back my video card hardware
acceleration  (I had not cut it back enough previously).
So....hmmm, is this also pointing to the PSU??
Not sure if the bios flash would help or not here...
