The formula for hash tables in Fritz is 2 x processor speed x seconds per move.
In your case, with a processor speed of 233 MHz, and I assume you mean 2 minutes
a move, Fritz would need a 55.9 or let's say 55-56 megs of RAM for hash tables.
If I understand you correctly, and your computer only has 32 megs of RAM
capacity, Fritz is not getting the proper amount of hash tables and this is
mostly likely why it is not performing better. CM6000 does not need hash tables
as Fritz does. According to SSDF testing, Fritz 5.32 and CN6000 have an even
score of 2-2 after 4 games at a time control of 40/2.

If it's possible, and if the poor performance of Fritz is due to lack of megs
for hash hables, you can upgrade the amount of RAM in your hard drive.
